APPLICABILITY<br \/>These general terms and conditions apply to any contract for services or legal relationship between &amp;BOUSIE, a trade name of BTB B.V. (hereinafter: \u201c&amp;BOUSIE\u201d) and a client (hereinafter: \u201cthe client\u201d) under which &amp;BOUSIE is to perform or has performed work.<\/p><p><br>ARTICLE 2 &#8211; STANDARD OF CARE<br \/>In performing the work to be carried out by &amp;BOUSIE, &amp;BOUSIE will exercise the reasonable care expected of a competent contractor. All of &amp;BOUSIE\u2019s obligations are exclusively best-efforts obligations and not obligations to achieve a specific result. All assignments are deemed to have been given exclusively to &amp;BOUSIE and not to any person affiliated with &amp;BOUSIE. This also applies if it is the intention of the parties that an assignment be performed by a specific person affiliated with &amp;BOUSIE. The provisions of Articles 7:404, 7:407(2), and 7:409 of the Dutch Civil Code are excluded. The client may not hold any natural person or legal entity other than &amp;BOUSIE liable for performance of the agreement or for damages. Third parties may not derive any rights from the work performed or its results. Persons who are direct or indirect shareholders of &amp;BOUSIE and who perform work on behalf of &amp;BOUSIE act, in the performance of their work, exclusively at the expense and risk of &amp;BOUSIE.       <\/p><p><br>ARTICLE 3 &#8211; THIRD PARTIES TO BE ENGAGED<br \/>&amp;BOUSIE is entitled to engage third parties in the performance of assignments, either as the client\u2019s agent or in its own name, if and to the extent it deems necessary. &amp;BOUSIE is not liable for any shortcomings on the part of these third parties, nor for any damages related thereto. By placing an order with &amp;BOUSIE, the client grants &amp;BOUSIE the authority to, in the event that a person engaged by &amp;BOUSIE is liable, wishes , to accept that limitation of liability also on behalf of the client.  <\/p><p><br>ARTICLE 4 &#8211; ELECTRONIC COMMUNICATION<br \/>Messages sent between &amp;BOUSIE and the client are transmitted unencrypted, unless the parties have expressly agreed otherwise prior to transmission. &amp;BOUSIE exercises the level of care that can reasonably be expected of it in securing the data of the client and third parties. &amp;BOUSIE is not liable for any loss of data or unauthorized access to data that occurs despite the care exercised by &amp;BOUSIE. Nor is &amp;BOUSIE liable for any loss of data or unauthorized access that occurs during the transmission of data over public networks or when using third-party networks and systems.   <\/p><p><br>ARTICLE 5 &#8211; CONFIDENTIAL INFORMATION<br \/>&amp;BOUSIE and the client shall keep the assignment, and everything related thereto or of which they become aware in connection with the assignment, confidential,<br \/>unless it can reasonably be assumed that such information is not confidential, and\/or unless disclosure is required by law or by a binding ruling of a court or government agency. If &amp;BOUSIE engages third parties in the performance of the agreement, it is permitted to disclose all information to such third parties, unless the client has indicated in advance that its prior consent must be sought for this purpose. Due to legal obligations, &amp;BOUSIE may be required to provide information about the client, or transactions carried out by the client, to third parties without being permitted to notify the client of this. The client accepts that &amp;BOUSIE will comply with these obligations and will not object to them, nor will the client prevent or hinder &amp;BOUSIE\u2019s compliance with these legal obligations.   <\/p><p><br>ARTICLE 6 &#8211; RATES AND BILLING<br \/>Invoicing for the work performed takes place on a monthly basis in accordance with the hourly rate applicable at &amp;BOUSIE for the individuals involved at the time the work is performed, plus a reasonable surcharge for office expenses. This hourly rate and the aforementioned reasonable surcharge may be adjusted periodically by &amp;BOUSIE, even for ongoing assignments, if a decision is made to increase these rates, which occurs at least once per calendar year. For certain types of work or when work must be performed under significant time pressure, &amp;BOUSIE is permitted to charge rates higher than its standard rates. &amp;BOUSIE will bill the client separately for costs not included in its rates, such as (but not limited to) courier fees, translation costs, bailiff fees, and court filing fees. Payment by the client must be made within 14 days of the invoice date. The client may submit objections to an invoice in writing to &amp;BOUSIE up to 14 days after the invoice date. In the absence of such (timely) notification, the invoice shall be deemed accepted by the client. If it has been agreed with the client that an advance payment is required before work begins, this advance payment will be offset against the final invoice related to the assignment. All invoices are subject to the applicable sales tax rate. If, for any reason, &amp;BOUSIE has incorrectly failed to charge sales tax and it subsequently becomes apparent that sales tax should have been charged, &amp;BOUSIE may still charge the client the amount that was not charged as sales tax, and the client is obligated to pay that amount to &amp;BOUSIE. &amp;BOUSIE does not have a trust account and therefore cannot receive third-party funds.          <\/p><p><br>ARTICLE 7 &#8211; LIMITATION OF LIABILITY AND INDEMNIFICATION<br \/>Any liability on the part of &amp;BOUSIE is limited to the amount paid out by &amp;BOUSIE\u2019s insurer in that regard, plus &amp;BOUSIE\u2019s deductible under that insurance policy. Any claim for damages shall be barred one year after the date on which the client became aware of an event or circumstance that could give rise to &amp;BOUSIE\u2019s liability. A copy of the professional liability insurance policy taken out by &amp;BOUSIE will be provided upon request. When<br \/>If, for any reason, the insurer does not pay out, the total liability arising from or related to the work performed or to be performed is limited to the amount paid by the client to &amp;BOUSIE for the work in connection with which the damage occurred during the 12-month period preceding the liability claim. Any claim for damages or otherwise against natural persons, employees, directors, or corporations (including their affiliated persons) who are employed by &amp;BOUSIE or with whom &amp;BOUSIE has entered into agreements in connection with its business operations, and who may be held (partially) responsible for the occurrence of the damage, is excluded. The aforementioned natural persons or legal entities may, by way of a third-party clause within the meaning of Article 6:253 of the Dutch Civil Code, invoke these general terms and conditions\u2014and therefore also this Article 7\u2014against the client. The client shall indemnify &amp;BOUSIE and the aforementioned natural persons and legal entities against claims by third parties arising from or related to a breach or tortious act by the Client\u2014in connection with the work performed or to be performed.      <\/p><p><br>ARTICLE 8 &#8211; TERMINATION<br \/>Either party is entitled to terminate the agreement by giving notice, with immediate effect if desired. In the event of termination, the client must pay &amp;BOUSIE at least the fee owed for the work that &amp;BOUSIE has performed prior to the end of the assignment, as well as for any work that &amp;BOUSIE must perform after that end to transfer the matter to the client or a third party. <\/p><p><br>ARTICLE 9 &#8211; MISCELLANEOUS<br \/>All work performed by &amp;BOUSIE is subject to a complaints procedure, which can be viewed at www.andbousie.com. In the event of a complaint, the provisions of the complaints procedure apply in full. All claims by the client expire 12 months after the work to which such claims relate has been performed, unless the client\u2019s rights, if any, have already expired at an earlier date in accordance with the law. All agreements, as well as any non-contractual obligations, and the legal relationship with the client are governed exclusively by Dutch law. All disputes between the client and &amp;BOUSIE shall be submitted exclusively to the competent court in Amsterdam, without prejudice to &amp;BOUSIE\u2019s right to submit a dispute to a court that\u2014in the absence of this provision\u2014would have jurisdiction.    <\/p><p><br>&amp;BOUSIE\u2014a trade name of BTB B.V.\u2014is located in Amsterdam and registered in the Commercial Register under number 92802508. <br \/>&amp;BOUSIE\u2019s VAT number is [NL866177796B01].<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t","protected":false},"excerpt":{"rendered":"<p>GENERAL TERMS AND CONDITIONS &amp;Bousie, a trade name of BTB B.V.
